ROYAL MID-SURREY GOLF CLUB (the “Club)

NOTICE OF A SPECIAL GENERAL MEETING

NOTICE is hereby given that a General Meeting of the Club is hereby convened by the Board to be held at The Clubhouse, Old Deer Park, Twickenham Road, Richmond, Surrey TW9 2SB on Tuesday 28th October 2025 at 6:30 pm to consider the following Resolution submitted by the Board  AND IT IS DECLARED by the Board that the Resolution proposed shall be decided by way of an electronic vote via the Club’s website in accordance with Article 21 of the Club’s Articles of Association. 

To consider and if thought fit, pass the following resolution as an Ordinary Resolution:

“That the Club should sell their leasehold interest in the plot of land adjacent to 53 Old Deer Park Gardens to The Crown Estate for the sum of no less than £350,000 and that the Board be authorised to negotiate, agree, and execute all necessary documents in connection with the sale to include but not be limited to agreeing the final terms, signing contracts and the transaction.”

Notes

1. A voting member entitled to attend, speak and vote at the meeting may appoint a proxy to attend and speak in his/her stead. Such a proxy need not be a member of the Club.
2. To be effective, a proxy must be lodged at the registered office of the Club which is Royal-Mid Surrey Golf Club, Old Deer Park, Twickenham Road, Richmond, Surrey TW9 2SB not less than 48 hours prior to the meeting or adjourned meeting (excluding any day that is not a working day  
3. Pursuant to Article 21.4 of the Articles of Association, the voting portal shall be made accessible to Voting Members following the conclusion of the General Meeting and Voting Members are to cast their votes via the Club’s website by 09:00 am on 3 November 2025.  
4. The Ordinary Resolution is passed by a simple majority of the Voting Members casting their vote.
